2. Purpose and scope
This Legal Notice governs access to and use of the website calzadosjam.es (hereinafter, "the Platform"), a wholesale footwear platform aimed exclusively at industry professionals (retailers, distributors, wholesalers) and businesses. No sales are made to end consumers.
Accessing and using this Platform confers the status of user and implies full and unreserved acceptance of all terms set out in this Legal Notice, as well as the Privacy Policy and the Cookie Policy. If you do not agree with any of these terms, you should refrain from using the Platform.
3. Access and registration
3.1. Registration requirements
To access the Platform and place orders, you must register as a professional client, which requires:
- Being over 18 years of age.
- Being a self-employed professional, company or professional in the footwear, fashion or retail sector.
- Providing truthful, accurate and up-to-date data.
- Providing documentation proving professional activity (CIF/NIF, Modelo 036 or other census document).
- Accepting these Terms and the Privacy Policy.
3.2. Validation and approval
All accounts are subject to validation. We reserve the right to:
- Reject, suspend or cancel any registration that does not meet the requirements or breaches these terms.
- Request additional documentation to verify the applicant's professional activity.
- Approve or deny access at our discretion, without obligation to provide reasons.
The user is responsible for maintaining the confidentiality of their login credentials and all activities carried out under their account. They must immediately notify Calzados JAM of any unauthorised use or suspected security breach.
4. Products and prices
4.1. Catalogue
The products displayed on the Platform are representative of our current catalogue. We endeavour to provide accurate information about features, materials, available sizes and images. However, slight colour variations may occur due to screen settings.
4.2. Prices
- All prices are wholesale prices for professionals.
- Prices are shown in euros (€) and do NOT include VAT, which will be applied according to current legislation.
- Shipping costs will be calculated based on destination and order volume.
- We reserve the right to modify prices without prior notice. The applicable prices will be those in effect at the time of order confirmation.
4.3. Availability
Product availability is subject to stock. If the requested product is unavailable, we will inform you and you may cancel your order or wait for restocking.
5. Orders and contracting
5.1. Order process
The contracting process follows these steps:
- The client selects products and quantities.
- Reviews the order summary (products, quantities, prices).
- Confirms the order.
- Receives email confirmation with the details.
- Calzados JAM processes the order, generates the delivery note and arranges shipping.
5.2. Contract formation
The sales contract is formed when Calzados JAM sends the order confirmation email. We reserve the right to reject orders due to non-compliance with conditions, product unavailability or credit reasons.
5.3. Minimum orders
We may set minimum orders based on client type and shipping area. This information will be communicated during the purchasing process.
6. Payment terms
- Payment methods: Bank transfer, direct debit (for clients with established accounts) and other methods according to commercial agreement.
- New clients: Advance payment or cash on delivery.
- Established clients: According to agreed terms (30/60/90 days).
- Invoicing: Invoices will be issued in accordance with Spanish tax regulations. Invoices will be sent by email and available in the client panel.
- Non-payment: Non-payment of any invoice entitles Calzados JAM to suspend supply, demand late-payment interest under Art. 7 of Law 3/2004 on combating late payment in commercial transactions, and claim corresponding collection costs.
7. Shipping and delivery
- Area: Mainland Spain, Balearic Islands and Portugal. Other destinations upon request.
- Timeframe: Generally 24-48 business hours from confirmation (indicative, subject to availability and area).
- Costs: Calculated according to weight, volume and destination, communicated before confirming the order.
- Receipt: It is the client's responsibility to check the order upon receipt and note any issues (damage, shortages) on the carrier's delivery note. Claims not recorded on the delivery note may not be honoured.
- Retention of title: Goods remain the property of Calzados JAM until full payment has been received, pursuant to Art. 464 of the Spanish Civil Code.
8. Returns and warranties
8.1. Exclusion of the right of withdrawal
As these are sales between professionals (B2B), the 14-day right of withdrawal provided for consumers under Royal Legislative Decree 1/2007 (LGDCU) does not apply. Transactions between businesses are governed by the Código de Comercio and freedom of contract (Art. 1255 of the Spanish Civil Code).
8.2. Defective or damaged products
If you receive defective or transit-damaged products:
- Notify us within a maximum of 48 hours of receipt.
- Provide photographs of the defect or damage.
- Keep the original packaging and do not use the product.
We will arrange replacement or credit as appropriate.
8.3. Order errors
If the error is ours (wrong product, incorrect sizes), we cover the return and reshipping costs. If the error is the client's, return costs are borne by the client.
8.4. Warranty
Our products are supplied with the legal warranty applicable to transactions between professionals under the Código de Comercio. The period for claiming hidden defects is 30 days from delivery (Art. 342 Código de Comercio).
9. Intellectual and industrial property
All content on this Platform — including, but not limited to, text, photographs, graphics, images, logos, icons, trademarks, trade names, graphic design, navigation structure, source code, databases and software — is owned by Herederos de José Aguilera Moreno S.L. or by third parties who have authorised its use, and is protected by:
- Royal Legislative Decree 1/1996 (Spanish Intellectual Property Law).
- Law 17/2001 on Trademarks.
- Law 20/2003 on Legal Protection of Industrial Design.
- Directive (EU) 2019/790 on copyright in the Digital Single Market.
The following is expressly prohibited:
- Reproducing, distributing, publicly communicating or transforming any content on this website without express written authorisation.
- Using web scraping, data mining, bots, crawlers or other automated means to extract, collect or index content, images, prices or data from the Platform.
- Downloading, copying or reusing product images for use on other platforms, online stores, social media or any medium, without prior authorisation.
- Reproducing the catalogue, in whole or in part, in any physical or digital format.
- Using content to train artificial intelligence or machine learning models.
- Linking via deep linking or framing to Platform content without authorisation.
Infringement of these rights will be pursued in accordance with current legislation, including the civil and criminal actions provided for in Arts. 270 et seq. of the Spanish Criminal Code, and will give rise to claims for damages.
10. User obligations and prohibitions
The user agrees to:
- Use the Platform correctly, lawfully and in good faith.
- Not use the Platform for unlawful, fraudulent purposes or purposes contrary to these Terms.
- Not attempt to access restricted areas, other users' accounts or systems without authorisation.
- Not introduce viruses, malware, malicious code or carry out actions that could damage, disable or overload systems.
- Not reverse-engineer, decompile or disassemble the Platform software.
- Not impersonate another person or company.
- Not use other users' contact data obtained through the Platform for unauthorised purposes.
Failure to comply with these obligations may result in immediate suspension or cancellation of the account, without prejudice to any applicable legal actions.
11. Disclaimer of warranties and limitation of liability
11.1. Service availability
We endeavour to keep the Platform operational but do not guarantee uninterrupted availability or the absence of technical errors. We may carry out maintenance that temporarily affects the service, without this giving rise to compensation.
11.2. Limitation of liability
Calzados JAM shall not be liable for:
- Indirect damages, loss of profit, business losses or data losses arising from use of the Platform, except in cases of wilful misconduct or gross negligence.
- Service interruptions due to force majeure, third-party infrastructure failures or cyber attacks.
- The content, products or services offered by third-party websites linked from the Platform.
- Damages arising from misuse of login credentials by the user.
11.3. External links
The Platform may contain links to third-party websites. Calzados JAM does not control and is not responsible for the content, privacy policies or practices of such sites.
12. Data protection
The processing of personal data is governed by our Privacy Policy, in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 (LOPDGDD).
13. Severability
If any clause of these Terms is declared null or unenforceable by a competent court, such nullity shall not affect the validity of the remaining clauses, which shall remain fully effective between the parties.
14. Amendments
Calzados JAM reserves the right to amend these Terms at any time. Amendments will be published on this page with the corresponding update date. Continued use of the Platform after the publication of changes implies acceptance. In the event of substantial amendments, registered users will be informed by email.
15. Applicable law and jurisdiction
These Terms are governed by and construed in accordance with Spanish law. In particular:
- Código Civil (Royal Decree of 24 July 1889).
- Código de Comercio (Royal Decree of 22 August 1885).
- Law 34/2002 (LSSI-CE).
- Regulation (EU) 2016/679 (GDPR).
- Organic Law 3/2018 (LOPDGDD).
For the resolution of any dispute arising from these Terms or the use of the Platform, both parties expressly submit to the jurisdiction of the Courts and Tribunals of Elche (Alicante), waiving any other jurisdiction that may apply.
